Terms & Conditions

These Terms and Conditions ("Terms") govern access to and use of the eb2bmart online B2B marketplace platform (the "Platform"), operated by eB2bmart ("Company", "we", "us", or "our"), a company incorporated under the laws of India, having its registered office at Unit No. 453, Aggarwal Metro Height, Plot No. E-5, Netaji Subhash Place, Pitampura, Delhi, 110034. By accessing, browsing, registering on, or otherwise using the Platform in any manner, a User agrees to be bound by these Terms, the Privacy Policy, and any other operative policies published on the Platform, each as amended from time to time. If a User does not agree to these Terms, such User must not access or use the Platform.

Introduction

eb2bmart is an online business-to-business marketplace that enables Buyers and Sellers to discover one another, list products and services, exchange trade enquiries, and communicate for the purpose of conducting independent commercial transactions. The Platform includes the website, any mobile application, and any related domains, sub-domains, or applications operated by the Company for the purpose of providing the Services (each as defined below).

These Terms constitute a legally binding electronic record within the meaning of the Information Technology Act, 2000 and rules made thereunder, and do not require any physical or digital signature to be valid and enforceable.

Defined Terms

Unless the context requires otherwise, the following expressions shall have the meanings set out below:

"Buyer":
any business entity, or an individual acting on behalf of a business, that uses the Platform to search for, enquire about, or purchase goods or services from Sellers.
"Seller":
any business entity, or an individual acting on behalf of a business, that lists, markets, promotes, or offers goods or services to Buyers on the Platform.
"User":
collectively, any Buyer, Seller, registered member, or visitor who accesses or uses the Platform in any manner, whether or not for payment.
"Services":
all services made available by the Company through the Platform, including without limitation business listings, catalogue hosting, lead generation, trade enquiries, advertising and promotional placements, subscription and membership packages, verification badges, and related support services.
"Content":
all data, material, and information — including text, images, videos, logos, catalogues, product specifications, pricing, ratings, comments, and messages — uploaded, posted, or otherwise made available on the Platform by a User or by the Company.
"Account":
the registered profile created by a User on the Platform through which the Services are accessed and used.
"Registration Data":
the details and information a User submits at the time of registration or subsequently, including business name, contact person, registered address, email, phone number, GST/PAN details, and related KYC information.
"Prohibited Content":
any Content that is unlawful, infringes the rights of a third party, violates applicable law or regulation, or is identified as prohibited under the Platform's policies, including the illustrative list at Clause 6.2.
"Trade Lead / Enquiry":
a request, requirement, or expression of interest posted or transmitted by a Buyer or Seller through the Platform for the purpose of identifying a suitable counterparty for a prospective transaction.

Eligibility & User Registration

3.1 Capacity to Contract

Use of the Platform is restricted to persons who are competent to contract within the meaning of the Indian Contract Act, 1872, and who access or use the Platform on behalf of a business, trade, profession, or industry. Individuals below 18 years of age, and entities not authorised to carry on business under applicable law, are not permitted to use the Platform.

3.2 Registration and Accuracy of Information

To access certain features, a User must create an Account by providing accurate, current, and complete Registration Data. A User registering on behalf of a business entity represents and warrants that it holds valid authority to bind that entity to these Terms.

3.3 Verification and KYC

The Company may, at its discretion, request supporting documents (such as certificates of incorporation, GST registration, PAN, address proof, or other KYC documentation) to verify a User's identity and business status, either directly or through a third-party verification service provider, subject to applicable law.

3.4 Ongoing Obligations

  • Keep Registration Data and KYC information accurate, current, and complete at all times.
  • Keep login credentials confidential and not share them with any third party; the User remains responsible for all activity on its Account.
  • Notify the Company immediately, in writing, of any unauthorised use of the Account or suspected breach of security.

3.5 Right to Verify, Refuse, or Revoke Registration

The Company reserves the right, in its sole discretion and without being obliged to give reasons (to the extent permitted by law), to accept or reject a registration request, impose conditions on activation or continued use, or suspend, restrict, or terminate any Account where submitted information is found to be inaccurate, incomplete, fraudulent, unverifiable, or in breach of these Terms.

Nature of the Platform & Relationship Between User and Company

4.1 Independent Business Relationship

The relationship between a User and the Company is that of independent parties to a platform-services arrangement. Nothing in these Terms or in a User's use of the Platform creates any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the User and the Company.

4.2 No Authority to Bind the Company

No User has actual or apparent authority to make or accept offers, give warranties or guarantees, incur obligations, or make representations on behalf of the Company, and no User shall represent itself as having such authority.

4.3 Platform as an Intermediary Only

The Company operates the Platform solely as an online intermediary that facilitates the listing of, and discovery of, business products and services, and communication between independent commercial entities. The Company:

  • does not manufacture, supply, sell, or purchase any product or service listed on the Platform;
  • does not guarantee the quality, quantity, safety, legality, delivery, or performance of any product or service listed by, or enquired about between, Users;
  • is not a party to, and does not broker, negotiate, or guarantee performance of, any contract, quotation, purchase order, or other commercial arrangement concluded between Users; and
  • does not collect, process, or hold payment or payment-instrument details on behalf of Users in connection with transactions between them, except where a specific paid Service (such as a subscription fee to the Company) expressly states otherwise.

All contracts for the sale, purchase, or supply of goods or services are formed directly and exclusively between the relevant Users and are governed solely by the terms agreed between those parties.

4.4 No Exclusivity or Business Outcome Guarantees

A User is free to use competing platforms or other marketing channels concurrently. The Company does not guarantee any minimum volume of leads, enquiries, conversions, or revenue arising from use of the Platform, and each User is responsible for conducting its own commercial due diligence before entering into any business relationship facilitated through the Platform.

4.5 Compliance with Applicable Law

Each User remains solely responsible for complying with all laws applicable to its business and to the products or services it lists or transacts in, including the Indian Contract Act, 1872, the Sale of Goods Act, 1930, the Legal Metrology Act, 2009, GST and other tax legislation, the Competition Act, 2002, and any industry-specific or export/import regulations.

Fees, Subscriptions & No-Refund Policy

Certain features of the Platform (such as premium listings, featured placement, lead-generation packages, verification badges, or advertising) may require payment of fees as displayed at the time of purchase. All applicable taxes are payable in addition unless stated otherwise.

Except where required by applicable consumer-protection law or expressly agreed in writing by the Company, all payments made for memberships, premium listings, lead-generation packages, enquiries, or other Platform services are final and non-refundable, including where a User receives fewer leads or enquiries than anticipated, is dissatisfied with the Service, or voluntarily discontinues use of the Platform before the end of a subscription term. A User dissatisfied with a Service may nonetheless submit a written request for review to the Grievance Officer under Clause 18, which the Company will consider at its discretion.

User Obligations & Prohibited Conduct

6.1 Legitimate Use

A User shall use the Platform solely for genuine business-to-business purposes and in compliance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and all other applicable law.

6.2 Prohibited Content and Conduct

A User shall not host, upload, publish, transmit, or share any Content, and shall not otherwise act in a manner, that:

  • is unlawful, defamatory, obscene, pornographic, libellous, invasive of another's privacy, or harassing;
  • is fraudulent, misleading, or involves counterfeit, stolen, banned, or otherwise prohibited goods;
  • infringes any patent, trademark, copyright, trade secret, or other proprietary right of a third party;
  • misrepresents the User's identity, business credentials, certifications, or affiliations, including through forged or unverified documents, GST numbers, or quality marks;
  • involves spamming, phishing, unauthorised data scraping, or harvesting of other Users' contact information;
  • contains viruses, malware, or other code intended to damage or disrupt the Platform or any User's systems;
  • creates multiple or fictitious Accounts, or manipulates leads, ratings, reviews, or search rankings through automated tools or false identities;
  • threatens the unity, integrity, security, or sovereignty of India, or public order, or incites the commission of an offence; or
  • otherwise violates these Terms or any applicable law.

6.3 Commercial Conduct

A User additionally agrees not to: (a) list goods or services that are unlawful to manufacture, import, export, sell, or distribute under applicable law; (b) make false claims regarding certifications such as ISO, BIS, or FSSAI, or regulatory approvals; (c) use the Platform in furtherance of money laundering or any activity prohibited under the Prevention of Money-Laundering Act, 2002; or (d) engage in price-fixing, bid-rigging, or other collusive conduct with other Users through the Platform.

6.4 Enforcement

Without prejudice to any other right or remedy, the Company may, at its discretion and without prior notice, remove or disable access to any Content or listing, suspend or terminate a User's Account, and report suspected unlawful activity to the appropriate authorities and cooperate with any resulting investigation.

Content, Licence Grant & Intellectual Property Rights

7.1 Ownership of Platform IP

All intellectual property rights in the Platform — including its trademarks, logos, software, design, layout, and databases (excluding User-submitted Content) — are owned by or licensed to the Company. Subject to compliance with these Terms, a User is granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its own business purposes. A User shall not copy, modify, distribute, sub-license, reverse-engineer, or create derivative works from any part of the Platform.

7.2 Licence to User Content

By posting or uploading Content (including listings, images, catalogues, and descriptions), a User grants the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute that Content solely for the purpose of operating, promoting, and improving the Platform and the Services, including displaying such Content on affiliated portals, promotional material, and search-engine placements. This licence continues for as long as the Content remains on the Platform and terminates, save for residual copies retained for legal, archival, or backup purposes, once the Content is removed.

7.3 User Warranties on Content

A User represents and warrants that it owns, or holds the necessary rights and consents in respect of, all Content it submits, and that such Content does not infringe any third-party intellectual property or other right. A User shall indemnify the Company in accordance with Clause 14 against claims arising from a breach of this warranty.

7.4 Intellectual-Property Complaints

The Company is not an arbiter of intellectual-property disputes between Users and cannot independently verify that a Seller has the right to offer particular goods or services. A rights-holder who believes a listing infringes its intellectual property may notify the Company in writing at info@eb2bmart.com with sufficient detail to identify the listing and the right allegedly infringed; the Company may, at its discretion, remove or disable the listing pending resolution.

Confidentiality & Data Protection

Business information submitted or hosted on the Platform by a User — including buyer leads, pricing, contact details, and product specifications — remains the property of that User. By submitting such information for display or use on the Platform, the User authorises the Company to use, store, process, and display it solely for operating and improving the Platform, generating aggregated or anonymised analytics, and complying with applicable law. The Company will not sell a User's confidential business information to unrelated third parties for their independent commercial use.

Personal information provided by Users is collected, used, and disclosed in accordance with the Platform's Privacy Policy, which forms part of these Terms by reference. The Company does not require, and Users should avoid submitting on public areas of the Platform, sensitive personal data such as financial-instrument details, health information, or biometric data.

Disclaimer of Warranties

The Platform and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that any Content is accurate, complete, or reliable. Users are strongly advised to independently verify the credentials, identity, and bona fides of any counterparty encountered on the Platform before entering into a transaction.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its affiliates, directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, goodwill, business, or data — arising out of or in connection with the Platform, the Services, or these Terms, however arising, including in negligence.

The Company shall not be liable for any delay, failure, or disruption of the Platform or Services resulting, directly or indirectly, from causes beyond its reasonable control, including internet or telecommunications failures, power outages, strikes, riots, fire, flood, governmental action, or other force-majeure events.

Without prejudice to the foregoing, and to the extent permitted by applicable law, the Company's aggregate liability to a User arising out of or in connection with these Terms or the Services, in any and all circumstances, shall not exceed the lower of: (a) the fees actually paid by that User to the Company in the twelve (12) months preceding the event giving rise to the claim; or (b) Rs. 10,000 (Indian Rupees Ten Thousand). Nothing in this Clause excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.

Indemnification

A User agrees to indemnify and hold harmless the Company, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's breach of these Terms; (b) the User's Content or any transaction conducted with another User; (c) the User's violation of applicable law or of any third-party right; or (d) any dispute between the User and another User of the Platform.

Suspension & Termination

The Company may suspend or terminate a User's Account, or restrict access to particular features, with or without prior notice, where it reasonably believes the User has breached these Terms, provided false or unverifiable information, engaged in fraudulent or unlawful conduct, or where required to do so by law or by direction of a competent authority. A User may close its own Account at any time by written request to info@eb2bmart.com, subject to settlement of any outstanding dues.

Termination does not entitle a User to a refund of fees already paid (see Clause 5) and does not affect any right or liability that accrued prior to termination. Clauses that by their nature are intended to survive termination — including Clauses 7 (Intellectual Property), 8 (Confidentiality), 11 (Limitation of Liability), 12 (Indemnification), and 17 (Dispute Resolution) — shall continue to apply.

Interactions Between Users & Fraud Advisory

Users are cautioned to exercise reasonable care and independent due diligence before dealing with any counterparty encountered through the Platform, particularly where a transaction involves advance payment, unfamiliar international buyers, or unusually attractive offers. As general good practice, Users are advised not to remit advance payment or dispatch goods without appropriate safeguards (such as verified letters of credit, confirmed bank transfers, or escrow arrangements), and to independently verify payment instruments (bank drafts, cheques, or credit-card authorisations) before shipment. The Company does not verify the identity, creditworthiness, or bona fides of Users beyond any specific verification badge expressly stated to have been obtained through a named third-party process, and assumes no liability for losses arising from a User's dealings with another User or third party.

Electronic Communications

A User consents to receive communications from the Company electronically, including by email, SMS, WhatsApp, or by posting notices on the Platform, and agrees that such electronic communications satisfy any legal requirement that a communication be in writing. The Company may contact a User regarding Account activity, transactional updates, and — where the User has not opted out — promotional offers or surveys. A User who does not wish to receive non-essential communications may opt out by writing to info@eb2bmart.com. Calls made to or by the Company's support team may be recorded for quality and training purposes.

Amendments to these Terms

The Company may revise these Terms from time to time to reflect changes in the Services, legal or regulatory requirements, or operational practice. The updated Terms take effect upon being posted on the Platform, and the "Last Updated" date at the top of this page will be revised accordingly. Continued use of the Platform after an update constitutes acceptance of the revised Terms. Users are encouraged to review these Terms periodically; where a change is material, the Company will make reasonable efforts to bring it to Users' attention, such as by notice on the Platform or by email.

Grievance Redressal

In accordance with the Information Technology Act, 2000 and rules made thereunder, any complaint, grievance, or notice regarding Content or the Company's compliance with these Terms may be addressed in writing to the Grievance Officer at the details below. The Grievance Officer will acknowledge and endeavour to resolve the complaint within the timelines prescribed under applicable law.

Dispute Resolution & Arbitration

In the event of any dispute, claim, or difference arising out of or in connection with these Terms, including as to their existence, validity, interpretation, or termination, the parties shall first attempt to resolve the matter amicably through the Grievance Redressal process at Clause 17. If the dispute is not resolved within thirty (30) days of a written complaint, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be Delhi, India, and the language of arbitration shall be English. The arbitral award shall be final and binding on the parties, subject to applicable law.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration provisions in Clause 18, the courts at Delhi, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Notices to the Company shall be sent in writing to info@eb2bmart.com or to the correspondence address at Unit No. 453, Aggarwal Metro Height, Plot No. E-5, Netaji Subhash Place, Pitampura, Delhi, 110034. Notices to a User shall be sent to the email address or contact details provided in that User's Registration Data, or by posting a notice on the Platform, and shall be deemed delivered 24 hours after transmission (for email) or upon posting on the Platform.

Miscellaneous

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any service-specific terms expressly incorporated by reference, constitute the entire agreement between a User and the Company regarding use of the Platform, and supersede any prior understanding on the same subject.

21.2 Severability

If any provision of these Terms is held invalid or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

21.3 Waiver

No failure or delay by the Company in exercising any right under these Terms shall operate as a waiver of that right, nor shall a single or partial exercise of a right preclude any other or further exercise of it.

21.4 Assignment

A User may not assign or transfer its rights or obligations under these Terms without the Company's prior written consent. The Company may assign these Terms, in whole or in part, in connection with a merger, acquisition, or sale of assets, or by operation of law.

21.5 Headings

Headings are included for convenience only and do not affect the interpretation of these Terms.
